Nature & Kind User Agreement

General Rules and Definitions

1.1 This User Agreement, which includes the Operating Rules set forth herein, constitutes the Agreement with Nature & Kind Limited, and its operating units including but not limited to; NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media with respect to travel operators, third party suppliers, website users, consultants and advertisers, collectively known as Clients, use of the NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services. Clients agree to abide by all of the terms and conditions contained in this Agreement in order to remain Clients of Nature & Kind Limited, and its operating units including but not limited to; NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media.

1.2 Use of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services by Clients constitutes Client's agreement with the terms and conditions stated herein. Nature & Kind Limited reserves the right, at its discretion, to change, modify, add or remove portions of this Agreement at any time. Notification of changes in service will be posted on NatureandKind.com.

1.3 IF THESE OPERATING RULES OR ANY FUTURE CHANGES ARE UNACCEPTABLE TO CLIENTS, OR CAUSE CLIENTS TO NO LONGER BE IN COMPLIANCE WITH THIS AGREEMENT, CLIENT MAY CANCEL PARTICIPATION IN THE NATURE & KIND LIMITED DATABASES BY SENDING E-MAIL TO: ACCOUNTS@NATUREANDKIND.COM (SEE SECTION 9 REGARDING TERMINATION OF SERVICE). CLIENTS' CONTINUED USE OF THE SERVICE NOW, OR FOLLOWING THE POSTING OF NOTICE OF ANY CHANGES IN OPERATING RULES, WILL CONSTITUTE A BINDING ACCEPTANCE BY CLIENT OF SUCH RULES, CHANGES, OR MODIFICATIONS.

1.4. Nature & Kind Limited may change, suspend, or discontinue any aspect of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services at any time, including the availability of any NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services feature, database, or content.

2. NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services CONTENT AND CLIENT SUBMISSIONS

2.1 The contents of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services are intended for the personal, non-commercial use of travellers and lifestyle consumers. All materials published by NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media (“Content”) are protected by copyright, and owned or controlled by Nature & Kind Limited, or the party credited as the provider of the Content. Clients shall abide by all additional copyright notices, information, or restrictions contained by any Content accessed through NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media.

2.2. NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services are protected by copyright as a collective work or compilation, pursuant to European copyright laws, international conventions, and other copyright laws. Clients may not modify, publish, transmit, participate in the transfer of sale of, reproduce (except as provided in this section of the Agreement), create derivative works from, distribute, perform, display, or in any way exploit, any of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media, or its Content, in whole or in part.

2.3 Clients may download or copy Content and other downloadable items displayed on NatureandKind.com provided that Client abides by all copyright and other notices contained in such Content. Client shall not store any significant portion of any Content owned by, or licensed to NatureandKind.com, in any form. Copying and storing of any Content for other than the use intended by NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media is expressly prohibited without the prior written permission of Nature & Kind Limited, or the copyright holder identified in the individual Content's copyright notice.

3. Access and Availability of Service and Links

3.1 NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services contain links to other related World Wide Web Internet sites, resources, and sponsors of Nature & Kind Limited. Nature & Kind Limited is not responsible for the availability of these outside resources, or their contents.

4. Representations and Warranties

4.1 Client agrees to indemnify, defend, and hold Nature & Kind Limited and its affiliates, officers, and employees harmless from any claim, demand, expense or damage, including reasonable lawyers' fees relating to use of Nature & Kind Limited services or violation of this Agreement.

4.2 Nature & Kind Limited does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services by any user, information provider or any other person or entity. Clients acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at Client’s sole risk. Nature & Kind Limited reserves the right, in its sole discretion, to correct errors or omissions in any portion of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services.

4.3 Disclaimer of Warranties: NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services and all downloadable software are distributed on an "as is" basis without warranties of any kind, either express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose. Client hereby acknowledges that use of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services is at Client's sole risk.

5. Registration and Security

5.1 Client Partnership and Membership is available to anyone who registers all the required information, provides an accurate, legitimate e-mail address, and obtains a unique NatureandKind.com identification and password. Nature & Kind Limited reserves the right to refuse any Client, subject to applicable country laws, or cancel any service due to a violation of this section 5.1.

5.2 As part of the registration process, Client will select a password and Client name. Client shall provide Nature & Kind Limited with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of Client's account. Client may not (i) select or use a screen name of another person with the intent to impersonate that person; (ii) use a name subject to the Rights of any person other than Client without authorization; or (iii) use a screen name that Nature & Kind Limited, in its sole discretion, deems offensive.

5.3 (a) Client shall immediately notify Nature & Kind Limited of any known or suspected unauthorized use(s) of Client's account, by sending e-mail to accounts@natureandkind.com

5.4 Client must be 16 years or older to become a Client of NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media products or services.

5.5 You are encouraged to maintain the confidentiality of your NatureandKind.com password. Each Client is responsible for all usage or activity on his or her NatureandKind.com account, including use of the account by any third party authorized by Client to use ID NatureandKind.com password.

5.6 Nature & Kind Limited has no control over the Internet and cannot prevent the interception of information by unauthorized parties. Accordingly, under no circumstances will Nature & Kind Limited be responsible for any loss or damage incurred by you as the result of unauthorized interception or decryption of information transmitted by you to.

6. Communications and Privacy

6.1 Nature & Kind Limited reserves the right to send electronic mail ("e-mail") to any and all Clients, for the purpose of informing them of changes or additions to the Service, or of any Nature & Kind related products and services. However, at any time, you may request that we discontinue such e-mail notifications to you by e-mailing such request to accounts@natureandkind.com.

6.2 Nature & Kind Limited reserves the right to disclose information about Client usage and demographics in forms that do not reveal Clients' personal identities (both in individual, group, or aggregate form) or personal contact information.

6.3 With permission of Client, Nature & Kind Limited may disclose identifying and/or contact Client information to third party vendors for the purpose of providing Client with information about products and services.

6.4 E-mails and other communications (other than registration information) with Nature & Kind Limited by Client are not private and may be published and edited at the discretion of Nature & Kind unless specifically instructed otherwise.

6.5 Although Nature & Kind Limited will not release your identifying information to third parties, you may be asked by third party Web sites viewed via NatureandKind.com, Nature & Kind Travel and/or Nature & Kind Media to release such information. You are never required to release this information, and whether you do is optional and strictly up to you. However, if you do release your personal information to a third party Web site viewed via NatureandKind.com, Nature & Kind Limited will not be responsible for any adverse consequences that may result there from.

7. Termination

7.1 Client may terminate Client's account at any time by sending email to accounts@natureandkind.com and stating intention to terminate. Upon termination, Client will receive a confirmation via e-mail that the request was received, and Client's access will be suspended within 24 hours if Client's participation allowed login accesses.

7.2 Paid subscription accounts can be cancelled by Client at any time by sending email to accounts@natureandkind.com and stating intention to terminate. Upon termination, Client will receive a confirmation via e-mail that the request was received. Contracts will expire at end of current billing period.

7.3 Nature & Kind Limited may, in its sole discretion, terminate or suspend Client's access to all or part of the Service for any reason, including, without limitation, breach of this Agreement, inactivity, or assignment of the Client's Agreement by Client.

7.4 "Inactive" Client is defined as any Client who views zero (0) Web sites, fails to update their Trusted Partner Profile in the CMS or Friends of Nature & Kind Member Account on NatureandKind.com, or ignores bona fide invoicing for services over a period of 60 consecutive days.

8. Miscellaneous

8.1 This Client Agreement has been made in and shall be construed and enforced in accordance with European law. Any action to enforce this agreement shall be brought in the federal or state courts located in London, United Kingdom.

8.2 In the event of any litigation arising out of the term or performance of this agreement, the prevailing party shall be entitled to reasonable lawyers' fees and costs.
